Terms of Service

1. Acceptance of Terms

By accessing or using the YieldDock website, application, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you must not use the Service. These Terms form a legally binding agreement between you and YieldDock ("we," "us," or "our").

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the effective date above. Your continued use of the Service after any modification constitutes acceptance of the updated Terms.

2. Description of Service

YieldDock is a read-only portfolio tracking and analytics platform. The Service allows you to:

• Connect your brokerage accounts via read-only third-party API integrations
• View consolidated portfolio data including positions, balances, and transaction history
• Track options income, dividends, covered calls, cash-secured puts, and other strategies
• Receive AI-generated insights and summaries based on your portfolio data
• Set alerts and rules based on portfolio metrics

The Service does not and cannot: execute trades, place orders, transfer funds, deposit or withdraw money, or take any action within your brokerage accounts. All brokerage connections are strictly read-only.

3. No Investment Advice

YieldDock is not a registered investment advisor, broker-dealer, financial planner, or any other type of financial professional regulated under the Investment Advisers Act of 1940 or any equivalent law.

Nothing provided through the Service — including but not limited to portfolio analytics, strategy summaries, options income tracking, AI-generated commentary, alerts, insights, or any other content — constitutes investment advice, financial advice, trading advice, legal advice, tax advice, or any other professional advice of any kind.

All information is provided for informational and educational purposes only. You should consult a qualified licensed financial professional before making any investment decision. Past performance data displayed through the Service is not indicative of future results.

You acknowledge that investing in securities involves significant risk, including the possible loss of the entire amount invested, and that you have read, understand, and accept these risks independently of the Service.

4. Data Accuracy and Timeliness

YieldDock relies on third-party data providers and APIs to source market data, portfolio snapshots, and financial information. We make no representations or warranties of any kind regarding the accuracy, completeness, timeliness, or reliability of any data displayed through the Service.

Specifically, you acknowledge and agree that:

• Market data may be delayed by 15 minutes or more depending on the data provider and subscription level. Real-time data is not guaranteed.
• Portfolio data may not reflect the current state of your brokerage accounts due to sync delays, API limitations, or data processing latency.
• AI-generated insights may contain errors, hallucinations, or inaccuracies. AI outputs are not audited, verified, or guaranteed to be correct. You must independently verify any AI-generated content before relying on it.
• Options data, expiration dates, strike prices, and Greeks may be incorrect or incomplete.
• Transaction categorization and strategy classification are performed algorithmically and may not accurately reflect the true nature of your trades.

You agree not to make any financial or investment decision based solely on data presented through the Service without independent verification.

5. Third-Party Brokerage Connectivity

Brokerage connections are established and maintained through SnapTrade, a third-party API provider, and potentially other third-party data aggregators. By connecting a brokerage account, you are also accepting the terms and conditions of those third-party providers.

YieldDock has no control over the availability, reliability, or continuity of third-party API services. Brokerage connections may be interrupted, revoked, or limited at any time by your brokerage, SnapTrade, or changes in API policies. YieldDock is not responsible for any data loss, inaccuracy, or service interruption caused by third-party API failures or policy changes.

You remain solely responsible for the security of your brokerage accounts. We strongly recommend you use unique, strong credentials for all brokerage accounts and enable multi-factor authentication independently of YieldDock.

6. User Responsibilities

You are solely responsible for:

• All investment decisions made using or influenced by the Service, regardless of any content, analysis, or insight provided
• Maintaining the security and confidentiality of your YieldDock account credentials
• Ensuring your use of the Service complies with all applicable laws and regulations in your jurisdiction
• Verifying the accuracy of all data presented before relying on it for any purpose
• Any taxes, fees, or liabilities arising from your investment activities

You agree not to use the Service for any unlawful purpose, to attempt to gain unauthorized access to any part of the Service, to interfere with or disrupt the Service, or to engage in any conduct that could damage, disable, or impair the Service or its users.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YIELDDOCK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:

• Financial losses, lost profits, or lost investment returns
• Losses arising from reliance on inaccurate, delayed, or incomplete data
• Losses arising from AI-generated content or insights
• Losses resulting from third-party API failures or data provider outages
• Losses resulting from unauthorized access to your account
• Any other loss or damage arising from your use of or inability to use the Service

IN NO EVENT SHALL YIELDDOCK'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO YIELDDOCK IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100).

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS. YIELDDOCK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Indemnification

You agree to indemnify, defend, and hold harmless YieldDock and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

10. Intellectual Property

The Service and all content, features, and functionality (including but not limited to all information, software, text, graphics, logos, and images) are the exclusive property of YieldDock or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use only.

11. Account Termination

We reserve the right to suspend or terminate your account and access to the Service at our discretion, with or without notice, for any violation of these Terms or for any other reason. You may also terminate your account at any time by contacting us at hello@theyielddock.com.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising under or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and YieldDock regarding the Service and supersede all prior agreements and understandings. Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.
